Terms of Service

1. Acceptance of Terms

By accessing or using the GoldBird platform (“Platform”), operated by the GoldBird Network, a Network Level Collaborative administered by X50 SP (“Administrator,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”), our Privacy Policy, our SMS Messaging Terms, and the GoldBird Charter.

If you do not agree to these Terms, do not access or use the Platform. Your continued use of the Platform constitutes your acceptance of any modifications to these Terms.

2. Description of the GoldBird Network

GoldBird is an AI-Powered Wellbeing Management Platform driven by Wellbeing Futures Investing. The GoldBird Network is a Network Level Collaborative (NLC) administered by X50 SP.

The Platform provides the following core features and services:

• GoldCastle™ — A self-sovereign digital environment where your data, tools, compositions, and governance belong exclusively to you.
• GoldSage™ — A lifelong AI partner that builds continuity across interactions, knows your history and values, and improves the longer you work together.
• LEWs Measurement — Lifetime Expected Wellbeing-Years, a science-backed metric that captures how long and how well you can expect to live.
• Wellbeing Futures Investing (WFI) — Investment accounts and LEW-Backed Securities where financial returns flow from measurable improvements in human wellbeing.
• GoldDataMarkets™ — Participant-controlled data monetization where you decide what data is shared, with whom, and at what price.
• GoldStore™ — Composition commerce where participants own their intellectual property and can create, publish, and sell compositions.
• GoldOpportunities™ — Career, business, and collaboration matching driven by wellbeing alignment.

The Platform serves eight participant types: individuals, businesses, non-profits, government, universities and research institutions, financial services firms, AI services providers, and networks (NLCs).

3. AI-Powered Services and Technology Partners

GoldSage™, the Platform’s lifelong AI partner, is powered by artificial intelligence technology from multiple third-party providers (“AI Substrates”). By using the Platform, you acknowledge and agree to the following:

• Multiple AI Providers — GoldSage™ currently operates on AI technology from providers including Anthropic (Claude) and Google (Gemini). We may add, change, or remove AI providers at any time without prior notice to improve the quality, capability, or reliability of GoldSage™.
• Data Processing by AI Providers — When you interact with GoldSage™, the content of your interactions (including text, context, and relevant data from your GoldCastle™) is transmitted to one or more AI providers for processing. These providers process your data solely to generate responses and are contractually prohibited from using your data for their own purposes, including training their general-purpose AI models, to the extent our agreements permit.
• No Guarantee of Accuracy — AI-generated content, advice, guidance, recommendations, and outputs are provided for informational purposes only. AI systems can produce inaccurate, incomplete, misleading, or biased outputs. You are solely responsible for evaluating and verifying any AI-generated content before relying on it. AI outputs do not constitute professional advice of any kind (medical, legal, financial, psychological, or otherwise).
• No Liability for AI Outputs — GoldBird, the GoldBird Network, and X50 SP, disclaim all liability for decisions you make based on AI-generated content. You agree that your use of AI-generated content is at your own risk.
• AI Provider Terms — Our AI providers maintain their own terms of service and privacy policies. While we contractually restrict how providers may use your data, we cannot guarantee that AI providers will comply with all contractual obligations in all circumstances.
• Continuous Improvement — AI technology evolves rapidly. The capabilities, behavior, and quality of AI responses may change over time as we update providers, models, and configurations. We strive for continuous improvement but do not guarantee consistency of outputs across updates.

4. The GoldBird Charter

The GoldBird Charter is the constitutional document governing the GoldBird Network. By becoming a participant, you agree to the principles set forth in the Charter, including but not limited to:

• Ethics-First — Ethics precedes ontology. Features, decisions, and interactions start from the infinite ethical demand, treating every person as intrinsically valuable.
• Self-Sovereignty — Each participant’s GoldCastle™ must be able to cut off all connections to GoldBird and continue operating independently. Your data, tools, compositions, and governance are sovereign infrastructure.
• Accountability — Participants and the Network are accountable to each other through transparent governance, measurable outcomes, and democratic coordination.
• Coherence — The Network operates as a coherent whole through Tetradic Network Technique (TNT), a democratic coordination system that scales from individuals to the globe.

The Charter, together with these Terms, the Privacy Policy, and SMS Messaging Terms, forms the complete governing framework for your participation in the GoldBird Network.

5. Membership and Accounts

Membership in the GoldBird Network is by invitation only. All participants sign the GoldBird Charter upon joining.

When creating an account, you agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information.
• Maintain the security of your account credentials and notify us immediately of any unauthorized use.
• Accept responsibility for all activities that occur under your account.

You must be at least 13 years of age to use the Platform. If you are under the age of 18, you must have the consent of a parent or legal guardian. We reserve the right to refuse service, terminate accounts, or revoke invitations at our discretion, consistent with the GoldBird Charter.

6. Self-Sovereign Castle Ownership

Each participant receives a self-sovereign GoldCastle™. Your GoldCastle is yours. This is not a marketing statement — it is an architectural commitment embedded in the Platform’s design.

Self-sovereignty means:

• Your data belongs to you. GoldBird cannot access, read, sell, or monetize your castle data without your explicit consent.
• Your compositions belong to you. Everything you create within your GoldCastle — documents, analyses, tools, workflows, creative works — is your intellectual property.
• Your tools belong to you. The tools and configurations within your castle operate under your control.
• Your castle survives departure. If you leave the GoldBird Network, your GoldCastle and its contents remain yours. Your castle is designed to cut off all connections to the Platform and continue operating independently.
• GoldBird cannot revoke your castle. The Administrator cannot seize, disable, or delete your GoldCastle except as required by law or in cases of fraud.

7. Intellectual Property — Your Compositions

You retain full ownership of all content you create using the Platform, including but not limited to compositions, GoldJourneys, GoldApps, documents, analyses, and creative works (“Your Content”).

By using the Platform, you grant GoldBird a limited, non-exclusive, royalty-free license to use Your Content solely as necessary to provide and operate the Platform services. This license does not transfer ownership and terminates when you remove Your Content or leave the Platform.

GoldStore™ Commerce: When you publish compositions, GoldApps, or other works through GoldStore™, you set the terms of sale, pricing, and licensing. GoldBird may charge a transaction fee as disclosed on the Platform. You are solely responsible for ensuring your published works do not infringe the intellectual property rights of others.

8. Intellectual Property — GoldBird

The GoldBird name, logo, and all related trademarks, service marks, and trade names (including but not limited to GoldCastle™, GoldSage™, GoldDataMarkets™, GoldStore™, GoldOpportunities™, and LEWs) are the property of X50 SP, or its licensors.

The Platform’s source code, architecture, GoldApp framework, design elements, and documentation are owned by X50 SP, and are protected by intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Platform’s underlying technology beyond the right to use it as a participant.

9. GoldDataMarkets™

GoldDataMarkets™ enables participant-controlled data monetization. The following principles govern your participation in GoldDataMarkets™:

• Your data, your terms. You control what data is shared, with whom it is shared, and at what price.
• Explicit consent required. No data leaves your GoldCastle™ without your explicit, informed consent for each transaction or standing permission you configure.
• Revenue belongs to you. Revenue generated from your data through GoldDataMarkets™ belongs to you, less any transaction fees disclosed on the Platform.
• Revocable permissions. You may revoke data-sharing permissions at any time. Revocation applies to future sharing; data already transmitted pursuant to a completed transaction is governed by the terms of that transaction.
• Transparency. You will have visibility into who accesses your data, when, and for what purpose.

10. Wellbeing Futures Investing Disclaimer

IMPORTANT: Wellbeing Futures Investing (WFI) involves financial instruments, including LEW-Backed Securities. Please read this section carefully.

• Not investment advice. Nothing on the Platform constitutes investment advice, financial advice, trading advice, or any other sort of advice. You should not treat any of the Platform’s content as such.
• No guarantee of returns. Past performance does not guarantee future results. The value of investments, including LEW-Backed Securities, can go down as well as up. You may receive back less than you invest.
• Novel instruments. LEW-Backed Securities are novel financial instruments. Their regulatory classification, tax treatment, and market behavior may evolve. You should be aware of and accept the risks associated with novel financial instruments.
• Consult a qualified advisor. Before making any investment decisions, you should consult with a qualified financial advisor, tax advisor, and/or legal counsel who can provide advice tailored to your individual circumstances.
• Regulatory compliance. WFI features and LEW-Backed Securities are offered in compliance with applicable securities laws and regulations. Availability may vary by jurisdiction.
• Your responsibility. All investment decisions are your own. GoldBird, the GoldBird Network, and X50 SP, are not responsible for any investment losses you may incur.

11. SMS Messaging Consent

By providing your phone number and opting in, you consent to receive SMS messages from the GoldBird Network as described in our SMS Messaging Terms.

• Message and data rates may apply.
• You can opt out at any time by replying STOP to any message.

12. Acceptable Use

You agree not to use the Platform to:

• Violate any applicable law, regulation, or the GoldBird Charter.
• Infringe upon the intellectual property rights, privacy rights, or other rights of any third party.
• Transmit any malware, viruses, or other harmful code.
• Attempt to gain unauthorized access to any part of the Platform, other users’ GoldCastles, or any systems or networks connected to the Platform.
• Use the Platform for any fraudulent, deceptive, or misleading purpose.
• Harass, abuse, threaten, or intimidate other participants.
• Interfere with or disrupt the Platform’s infrastructure, services, or other participants’ use of the Platform.
• Collect or harvest any information from the Platform or other participants without their consent.
• Use automated means (bots, scrapers, crawlers) to access the Platform without prior written permission.
• Misrepresent your identity, affiliation, or the origin of any content.

We reserve the right to investigate and take appropriate action against anyone who violates these prohibitions, including removing content, suspending or terminating accounts, and reporting violations to law enforcement.

13. Third-Party Services

The Platform may contain links to or integrations with third-party websites, services, or applications. These third-party services are not under our control, and we are not responsible for their content, privacy policies, or practices.

Your use of third-party services is at your own risk and subject to the terms and conditions of those third parties. We encourage you to review the terms and privacy policies of any third-party services you access through the Platform.

14. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT ON THE PLATFORM.

THE LEWS MEASUREMENTS, WELLBEING ASSESSMENTS, AND ANY OTHER METRICS PROVIDED THROUGH THE PLATFORM ARE FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY AND SHOULD NOT BE CONSIDERED MEDICAL ADVICE, PSYCHOLOGICAL ADVICE, OR A SUBSTITUTE FOR PROFESSIONAL HEALTHCARE.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GOLDBIRD, THE GOLDBIRD NETWORK, THORNEWILL CONSULTING, DBA X50 SP, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to, use of, or inability to access or use the Platform.
• Any conduct or content of any third party on the Platform.
• Any content obtained from the Platform.
• Unauthorized access, use, or alteration of your transmissions or content.
• Investment losses related to Wellbeing Futures Investing or LEW-Backed Securities.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

16. Indemnification

You agree to indemnify, defend, and hold harmless GoldBird, the GoldBird Network, X50 SP, and their respective officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to:

• Your use of the Platform.
• Your violation of these Terms or the GoldBird Charter.
• Your violation of any applicable law or regulation.
• Your infringement of any intellectual property or other rights of any third party.
• Any content you create, publish, or distribute through the Platform, including through GoldStore™ or GoldDataMarkets™.

17. Termination

You may terminate your participation in the GoldBird Network at any time by contacting us at legal@goldbird.world.

We may suspend or terminate your access to the Platform at any time, with or without cause, with or without notice, consistent with the GoldBird Charter.

Upon termination:

• Your GoldCastle™ data remains yours. Consistent with our self-sovereignty commitment, your castle data, compositions, and intellectual property remain your property.
• You will be provided a reasonable period to export your data.
• Your castle is designed to continue operating independently after disconnection from the Platform.
• Any outstanding financial obligations remain due.
• Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, and indemnification.

18. Modifications

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Platform and updating the “Last Updated” date.

Your continued use of the Platform after any modifications constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Platform.

Material changes to the self-sovereignty provisions (Section 6) or castle ownership rights (Section 7) require advance notice of at least thirty (30) days and are subject to the governance processes established in the GoldBird Charter.

19. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

20. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

The arbitration shall take place in Louisville, Kentucky, unless the parties mutually agree to another location. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or to prevent irreparable harm.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

21. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

22. Entire Agreement

These Terms, together with the Privacy Policy, SMS Messaging Terms, and the GoldBird Charter, constitute the entire agreement between you and GoldBird regarding your use of the Platform and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the subject matter of these Terms.
